Terms & Conditions
These terms govern your engagement with Sovanta and our AI engineering services. Please read them carefully before proceeding with any service agreement.

1. Definitions
For the purposes of this Agreement, the following terms carry the meanings set out below:
- "Sovanta" / "We" / "Us" / "Our" — refers to Sovanta, an AI engineering services business registered and operating in Malaysia, with its principal place of business at 19 Jalan Pinang, 50450 Kuala Lumpur.
- "Client" / "You" / "Your" — refers to any individual, company, or organisation that engages Sovanta for services or accesses this website.
- "Services" — refers to the AI engineering deliverables described on this website and in any project proposal or statement of work, including Content Classification Engine development, Voice Interface Design, and Data Quality Assessment.
- "Agreement" — means these Terms & Conditions together with any signed proposal, statement of work, or project brief.
- "Deliverables" — means all outputs, models, reports, documentation, and materials produced in connection with the Services.
- "Confidential Information" — means any non-public information shared by either party in the course of the engagement.
2. Acceptance of Terms
By engaging Sovanta — whether through submitting a contact form, signing a proposal, making a payment, or exchanging project briefs — you confirm that you have read, understood, and agree to be bound by these Terms & Conditions.
To enter into a valid agreement with Sovanta, you must:
- Be at least 18 years of age.
- Have the legal authority to bind your organisation, if engaging on behalf of a company.
- Not be prohibited from receiving services under applicable Malaysian law or regulation.
If you do not agree to these terms, please do not proceed with any service engagement.
3. Service Description
Sovanta provides AI engineering services to businesses and product teams in Malaysia and internationally. Current service offerings include:
- Content Classification Engine development
- Voice Interface Design and integration
- Data Quality Assessment and reporting
Each engagement is scoped in a written proposal or statement of work that defines deliverables, timeline, and fees. Services are available to clients where Sovanta has the capacity and technical means to deliver them. Sovanta reserves the right to decline engagements that fall outside its area of expertise or available capacity.
Service availability is subject to team capacity and may vary. Sovanta does not warrant continuous or uninterrupted availability of any service offering at all times.
4. User Responsibilities
As a client, you agree to the following responsibilities throughout the engagement:
- Provide accurate, complete, and up-to-date project information and materials required for Sovanta to perform the Services.
- Respond to requests for feedback, approvals, or clarification within agreed timelines. Delays caused by the client may affect delivery schedules.
- Ensure that any data, content, or materials you supply do not infringe the intellectual property rights of any third party and comply with applicable Malaysian law, including the Personal Data Protection Act 2010 (PDPA).
- Use the Deliverables only for lawful purposes and in accordance with applicable laws and regulations.
- Not reverse engineer, misrepresent, or redistribute Sovanta's proprietary methodologies or internal tooling.
- Not engage in any activity that could damage, disrupt, or interfere with Sovanta's systems or operations.
5. Intellectual Property
5.1 Sovanta's IP
All proprietary methodologies, internal tools, frameworks, processes, and pre-existing intellectual property developed by Sovanta prior to or independent of any engagement remain the sole property of Sovanta.
5.2 Deliverables Ownership
Upon receipt of full payment for an engagement, Sovanta grants the client a non-exclusive, perpetual, royalty-free licence to use the agreed Deliverables for their stated purpose. Unless otherwise specified in the project proposal, ownership of bespoke Deliverables developed solely for the client transfers to the client upon full payment.
5.3 Client Materials
You retain ownership of all data, content, and materials you supply. By providing them to Sovanta, you grant a limited licence to use them solely for the purpose of delivering the Services.
6. Payment Terms
All fees are quoted and payable in Malaysian Ringgit (RM) unless otherwise agreed in writing.
- Payment schedule: Typically 50% upon project commencement and 50% upon delivery, unless a different schedule is stated in the proposal.
- Methods: Bank transfer to the account details provided in the invoice. Sovanta does not accept cash payments.
- Late payment: Invoices not settled within 14 days of the due date may attract a late fee of 1.5% per month on the outstanding amount.
- Refunds: Work completed and delivered as per the agreed scope is not eligible for refund. If Sovanta is unable to complete the project for reasons within its control, fees for uncompleted milestones will be refunded on a pro-rata basis.
- Scope changes: Requests that materially expand the project scope will be quoted separately and require written agreement before implementation.
7. Service-Specific Terms
Content Classification Engine
Engagement covers taxonomy design, training data preparation, multi-label model development, and handover documentation over approximately 8 weeks. The client is responsible for providing representative samples of the content to be classified. Model performance is subject to the quality and diversity of training data supplied.
Voice Interface Design
Engagement covers wake-word configuration, intent schema design, NLU setup, response generation logic, and backend integration over approximately 10 weeks. The client must provide access credentials and documentation for any backend systems requiring integration. Timeline assumptions are based on timely access and feedback.
Data Quality Assessment
Engagement covers dataset audit, ML fitness evaluation, issue identification, and delivery of a prioritised remediation report over approximately 3 weeks. The client is responsible for providing complete, unredacted datasets in an accessible format. The report reflects the state of the data at the time of assessment.
8. Disclaimers
Sovanta provides its services with reasonable care and professional judgement. However:
- Services are provided on an "as delivered" basis. Sovanta does not warrant that Deliverables will be free from all errors or that AI models will achieve a specific level of accuracy in all scenarios.
- AI model performance depends significantly on the quality and representativeness of training data. Sovanta is not liable for outcomes arising from incomplete or inaccurate data provided by the client.
- Content on this website is for informational purposes only and does not constitute professional legal, financial, or technical advice for your specific situation.
- Sovanta does not make representations regarding the fitness of any Deliverable for regulatory compliance in specific industries. Clients are responsible for verifying compliance with applicable laws.
9. Limitation of Liability
To the extent permitted by Malaysian law, Sovanta's total liability arising from or in connection with any engagement shall not exceed the total fees paid by the client for the specific service that gave rise to the claim.
Sovanta shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.
Nothing in these terms limits liability for fraud, gross negligence, or any matter that cannot be excluded under applicable Malaysian law, including the Consumer Protection Act 1999 where applicable.
10. Indemnification
You agree to indemnify and hold harmless Sovanta, its principals, and contractors from and against any claims, damages, costs, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your use of the Deliverables in a manner inconsistent with this Agreement; (c) any data or materials you provided that infringe the rights of third parties; or (d) your violation of any applicable law or regulation.
11. Termination
Either party may terminate an engagement by providing 14 days' written notice. Upon termination:
- The client will be invoiced for all work completed up to the termination date, calculated on a pro-rata basis against the agreed project fee.
- Sovanta will deliver all completed work product and documentation to the client within 10 business days.
- Confidentiality obligations survive termination and remain in effect for 3 years following the end of the engagement.
- Sovanta may terminate an engagement immediately if the client breaches these Terms in a material way and does not remedy the breach within 7 days of written notice.
12. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
Before commencing formal proceedings, both parties agree to attempt to resolve any dispute through good-faith discussion. Either party may initiate this process by sending a written notice describing the dispute. The parties will have 30 days from receipt of such notice to reach a resolution.
If informal resolution is not achieved within 30 days, either party may refer the matter to mediation under the rules of the Asian International Arbitration Centre (AIAC), or pursue legal proceedings in the Malaysian courts.
13. General Provisions
- Entire Agreement: These Terms, together with any signed project proposal, constitute the entire agreement between the parties and supersede all prior discussions or representations.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.
- Waiver: Failure by Sovanta to enforce any right under these Terms does not constitute a waiver of that right in the future.
- Assignment: You may not assign your rights or obligations under these Terms without Sovanta's prior written consent. Sovanta may assign obligations to qualified contractors while remaining responsible for delivery.
- Notices: Formal notices under this Agreement should be sent in writing by email to [email protected] or by post to 19 Jalan Pinang, 50450 Kuala Lumpur.
14. Changes to Terms
Sovanta may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The revised Terms will be posted on this page with an updated effective date.
For active engagements, material changes will be communicated by email. Continued engagement after the effective date of any changes constitutes acceptance of the revised Terms.
